Chapter I: General Provisions
Article 1
Name of the Alliance: “The Alliance of Acupuncture and Chinese Medicine of Canada (AACMC)” (hereinafter referred to as AACMC).

Article 2
This Alliance is a non-governmental organization voluntarily initiated and formed through friendly consultation by licensed acupuncture and TCM professionals in Canada, TCM and acupuncture colleges, and individuals with insight into the field of TCM.
Article 3
Purpose of the Alliance: To serve community healthcare through TCM doctors and acupuncturists, helping the Canadian government reduce major hospital expenditures. To actively participate in legislative reforms of TCM in government and health departments. To regularly communicate, strengthen academic exchange, information sharing, and results exchange among members, improve TCM professional standards, inherit and develop TCM, promote continuing education for TCM doctors and acupuncturists, and promote participation in health benefit insurance programs with group insurance companies, so members can provide reimbursable services.
Article 4
The Alliance is headquartered in Winnipeg, Canada.
Chapter II: Alliance Work
Article 5
Main work of the Alliance:
- Utilize the platform advantage of AACMC to comprehensively promote the culture and characteristics of TCM, so that the unique medical and rehabilitation model and value of TCM can be understood and accepted by society.
- In cooperation with member TCM and acupuncture colleges, carry out exchange activities, AACMC Spring Bud Scholarship selection and awards; integrate various channels and resources to provide resource service systems, expert service systems, and self-service systems for members.
- In cooperation with member colleges, organize training plans, run training classes, offer distance education, host AACMC International Conferences on TCM and Acupuncture to enhance the quality and academic level of practitioners; promote continuing clinical education.
- Actively participate in the professional consultation work and legislation consulting of provincial TCM associations, professional degree accreditation, and qualification examinations.
Chapter III: Members
Article 6
Membership consists of individual and organizational members. Individual members are the primary type. Membership follows the principle of “voluntary joining and free withdrawal.”
- Individual Members: Licensed TCM and acupuncture professionals in Canada, students in TCM/acupuncture programs, teachers, education administrators, and personnel involved in the production, quality control, and management of natural health products.
- Organizational Members: TCM and acupuncture colleges, clinics, enterprises producing natural health products, research institutions, herb suppliers, and medical equipment suppliers.
Article 7
Applicants must meet the following conditions:
- Recognize and accept this constitution and Alliance values;
- Voluntarily join and fulfill their responsibilities and obligations.
Article 8
Membership application procedure:
- Submit application form;
- Secretariat conducts preliminary review;
- Board reviews and approves;
- Secretariat issues membership certificate.
Article 9
Member rights:
- Right to vote and be elected within the Alliance;
- Priority participation in Alliance events;
- Access to various information services provided;
- Right to criticize, advise, and supervise the Alliance;
- Voluntary entry and free withdrawal.
Article 10
Member obligations:
- Comply with the constitution and resolutions;
- Care for and support Alliance work, actively participate in activities;
- Provide required info, statistics, and materials;
- Pay membership dues as required;
- Consciously protect the Alliance’s reputation and legal rights.
Article 11
Membership is terminated if:
- Voluntary withdrawal with written notice and return of certificate;
- Two consecutive years without participating or paying dues—deemed automatic withdrawal;
- Disbanding or legal cancellation of an organizational member, with written notice and certificate return.
Article 12
Violation of laws, harming Alliance interests or reputation, or failure to fulfill obligations may lead to cancellation of membership depending on severity.
Chapter IV: Organizational Structure
Article 13
Structure: Members Assembly, Executive Council, Secretariat
- Members Assembly: All members; highest authority.
- Executive Council: To ensure stable and flexible operation, under democratic centralism, positions include:
- President: 1
- Secretary-General: 1
- Executive Vice Presidents: 3
- Vice Presidents: several
- Provincial Presidents: 1 per province
- Executive Council Members: several
Vice Presidents serve as Executive Vice Presidents (1–3 annually); appointments proposed by President, confirmed by Council vote. Members absent from 3+ Council meetings are automatically removed.
- The Secretariat handles daily affairs and planning; 1 Secretary-General and 5–8 Deputy Secretary-Generals.

Article 14
Members Assembly:
- Duties:
- Formulate and revise the constitution;
- Set development plans and policy;
- Review annual reports and next-year plans;
- Approve changes or termination of Alliance;
- Review other member-submitted proposals.
- Meetings: Regular and extraordinary; summoned by President or by proposal of over half the board.
- Decisions: Valid with 2/3 vote when over half of members are present.
Article 15
Executive Council Duties:
- Review and approve constitution and policies;
- Manage internal regulations;
- Plan development and strategies;
- Review annual work reports;
- Review proposals to change or terminate the Alliance;
- Handle major affairs.
Article 16
Secretariat:
- Duties:
- Implement resolutions;
- Prepare and organize meetings;
- Draft annual reports;
- Review new member applications;
- Propose disciplinary actions or process withdrawals;
- Other tasks assigned by Council and Assembly.
- Secretary-General: 1, nominated by President, confirmed by Council; term: 1 year, renewable. Duties include staff management and coordination of daily affairs.
Chapter V: Asset Management
Article 17
Sources of funding:
- Membership dues;
- Activity/service income within approved business scope;
- Donations from organizations and individuals;
- Interest income;
- Other lawful income.
Article 27
Funds and assets must be used in accordance with the mission and business scope.
Article 28
Expenditures must align with the development and scope defined in this constitution.
Article 29
Strict financial management must ensure legality, authenticity, accuracy, and completeness of records.
Chapter VI: Amendments
Article 30
Amendments to this constitution must be approved by vote of the Executive Council.
